1. Perpetual Software License
Heronix Education Systems grants you a perpetual, non-exclusive, non-transferable license to use the software you have purchased. This means:
- Perpetual: Your license never expires. You own it forever.
- Non-exclusive: We may license the same software to other customers.
- Non-transferable: You cannot resell or transfer the license to another organization without written consent.
What You Can Do:
- Install and use the software on your servers indefinitely
- Make backup copies for archival purposes
- Customize and modify the software for your internal use
- Continue using the software even if you discontinue support
What You Cannot Do:
- Redistribute, resell, or sublicense the software
- Remove or alter copyright notices or branding
- Use the software in ways that violate applicable laws
2. Support Contract (Optional)
Support is optional and not required to use the software. If you purchase a support contract:
What's Included:
- Software updates and security patches
- Technical support via email and phone
- Implementation assistance and training materials
- Priority bug fixes
- Access to new features and improvements
What's Not Included:
- Hardware support or server maintenance
- Network configuration or security
- Custom development beyond standard features
- On-site support (available for additional fee)
Support Term: Annual contracts, renewable at your discretion. Non-renewal does not affect your perpetual license.
3. Data Ownership
You own 100% of your data. Heronix makes no claim to any data stored in the software.
- All student, teacher, and operational data belongs to your organization
- We do not access, store, or process your data (on-premise deployment)
- You may export, migrate, or delete data at any time
- Data ownership is unaffected by license or support status
4. Warranty
Limited Warranty: Heronix warrants that the software will perform substantially as described in the documentation for a period of 90 days from delivery.
Remedy: If the software fails to conform to this warranty, Heronix will, at its option:
- Provide a fix or workaround for the issue
- Replace the software with a conforming version
- Refund the license fee if the issue cannot be resolved
Exclusions: This warranty does not cover:
- Issues caused by modifications you made to the software
- Issues caused by hardware, network, or environment problems
- Issues caused by using the software outside documented specifications
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Heronix is not liable for indirect, incidental, special, or consequential damages
- Heronix is not liable for lost data (you are responsible for backups)
- Heronix is not liable for system downtime or availability (on-premise = your infrastructure)
- Total liability is limited to the amount paid for the software license
Note: Because Heronix software runs on your servers, you are responsible for system uptime, backups, and security. We provide the software; you provide the infrastructure.
6. Intellectual Property
Heronix Education Systems retains all intellectual property rights in the software, including:
- Source code and object code
- Documentation and training materials
- Trademarks, logos, and branding
- Patents, if any
Your license grants usage rights, not ownership of the intellectual property.
7. Termination
By You: You may stop using the software at any time. No refunds for perpetual licenses already delivered.
By Us: We may terminate your license only if you:
- Materially breach these terms and fail to cure within 30 days of notice
- Use the software in violation of applicable laws
- Attempt to redistribute or reverse-engineer the software
Effect of Termination: Upon termination, you must cease using the software and destroy all copies. Your data remains yours.
8. What Happens If Heronix Goes Out of Business?
Because you have a perpetual license and the software runs on your servers:
- You continue using the software indefinitely
- Your data remains on your servers, fully accessible
- You are not dependent on us for continued operation
This is a key advantage of on-premise software over SaaS: your operations are not tied to our business continuity.
9. Governing Law
These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the appropriate courts of Delaware.
10. Changes to Terms
We may update these terms for new purchases. Existing licenses are governed by the terms in effect at the time of purchase. We will not retroactively change terms for existing customers.
